Affiliate Terms and Conditions
You have an exclusive right to represent us (Hyssop Beauty Apothecary), located at 674 Bloomfield Ave. Nutley NJ 07110 as an “Independent Beauty Apothecarist”.
WHAT DO BOTH PARTIES AGREE TO DO?
You: You will represent Hyssop Beauty Apothecary through an affiliate link to the best of your ability. As an Independent Beauty Apothecarist, you will analyze client’s needs and distribute our beauty and skin care products.
Us: We will supply replacement product regularly, and will do everything we’ve agreed with you and we’ll do it all in a professional and timely manner. We’ll endeavor to maintain your stock and will visit regularly to ensure you have product on hand as well as a tester.
GETTING DOWN TO THE NITTY GRITTY
TERM OF AGREEMENT
The term of this agreement will begin on the date of this agreement and will remain in full force and effect indefinitely until terminated as provided in this Agreement.
You may terminate this agreement by providing 30 days’ written notice to us, providing there are no future events that are already scheduled and paid for on your behalf.
We may terminate this agreement by providing 30 days’ written notice to you.
COMPENSATION
We will pay commission monthly. Total compensation is 20%. You may collect the full 20% compensation or you may share a percentage with your clients/followers in the form of a customer discount.
CONFIDENTIALITY
We consider confidential information to be any data or information relating to Hyssop Beauty Apothecary, whether business or personal, which would reasonably be considered to be private or proprietary where the release of that confidential information could reasonably be expected to cause us harm. This includes confidential information disclosed before or after the date of this agreement.
We often share our great ideas with our Independent Beauty Apothecarists through written and oral means. You will likely become privy to private and confidential information and agree not to reveal any confidential information about us. This confidentiality obligation applies during the term of this agreement and survives indefinitely beyond the termination of this agreement.
OWNERSHIP OF INTELLECTUAL PROPERTY
All intellectual property and related material under this agreement remains the sole property of Hyssop Beauty Apothecary. You may not use our intellectual property for any purpose other than that contracted for in this agreement, except with our written consent.
RETURN OF PROPERTY
Upon the termination of this agreement, you will return to us any property, documentation, records, or confidential information which is the property of Hyssop Beauty Apothecary.
INDEPENDENT CONTRACTOR
You agree that you are an independent contractor and not an employee. This agreement does not create a partnership or joint venture between you and us, and is exclusively a contract for service. We are not required to pay, or make any contributions to, any social security, local, state, or federal tax, unemployment compensation, workers’ compensation, insurance premium, profit-sharing, pension or any other employee benefit for you during the term of this agreement. You are responsible for paying, and complying with reporting requirements for, all local, state, and federal taxes related to payments we make to you under this agreement.
HOLD HARMLESS
You shall indemnify and hold us harmless from any loss or liability arising from performing services under this Agreement.
BUT WHERE’S ALL THE HORRIBLE SMALL PRINT?
Just like a parking ticket, you can’t transfer this contract to anyone else without our permission. This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.
Although the language is simple, the intentions are serious and this contract is a legal document under exclusive jurisdiction of New Jersey courts.
Oh and don’t forget those men with big dogs.
